• We are not liable for any legal, financial, or reputational damages resulting from how you use our services.

• If you violate marketing regulations (TCPA, CAN-SPAM, 10DLC rules, or any applicable laws), it is solely your responsibility.

• If your campaign fails, underperforms, or leads to regulatory fines, lawsuits, or business losses, you may not hold us liable or seek damages from us.

B. No Guarantees on Sales Training

 

• We provide sales training for informational purposes only.

• We do not guarantee increased sales, higher close rates, or improved revenue.

• Your success depends on your skills, market conditions, and business execution.

• If you or your employees fail to close deals or generate revenue, we are not responsible.

C. No Liability for Installation Training & Damages

• We are not responsible for installation mistakes, property damage, or equipment malfunctions caused by following our videos.

• If you or your employees damage a customer’s property, you assume full responsibility, and SOKE Systems Inc is not liable.

• While we provide training, tutorials, and instructional materials on installation, demonstrations, and other related topics, these resources are for informational purposes only and should not be considered legally binding. It is your responsibility to verify compliance with all applicable local, state, and federal regulations, building codes, and industry standards. We strongly recommend consulting with licensed professionals or regulatory authorities to ensure accuracy and compliance before implementing any training or installation practices

7. Legal Fees & Indemnification

You agree to indemnify, defend, and hold harmless SOKE Systems Inc, its employees, affiliates, and agents from any claims, liabilities, damages, legal actions, regulatory penalties, or losses arising from:

• Your misuse of our services.

• Your failure to comply with applicable laws and regulations.

• Any third-party claims or lawsuits related to your marketing campaigns, AI messaging, or SMS communications.

If any legal action is taken against us due to your use of our services or breach of contract, you are responsible for covering:
✅ All of our legal fees, attorney costs, and court expenses.
✅ Any settlements, fines, or penalties resulting from your actions.
✅ Any other damages incurred by SOKE Systems Inc due to your violations.

8. Prohibited Activities

You agree NOT to:

🚫 Use our services for spam, fraud, or illegal activities.
🚫 Reverse-engineer, copy, or distribute our technology or services.
🚫 Misrepresent your identity when using our services.
 

Violation of this section may result in immediate termination of your access.

9. Intellectual Property

All content, trademarks, and materials on our website and communications are owned by SOKE Systems Inc. You may not copy, modify, or distribute our content without written permission.

10. Limitation of Liability

SOKE Systems Inc provides services “as is” and “as available.” We make no warranties or guarantees regarding:

• The accuracy, reliability, or uninterrupted availability of our services.

• The performance of AI-generated messages or automated systems.

• Any consequential, incidental, or punitive damages beyond the fees paid to us in the last 3 months. 
   

11. Arbitration & Governing Law

Any disputes, claims, or controversies arising from your use of our services shall be resolved exclusively through binding arbitration in Richland County, South Carolina.

• You waive your right to a jury trial or class action lawsuit.

• The arbitration shall be conducted in accordance with the American Arbitration Association (AAA) rules.

• The arbitrator’s decision shall be final and enforceable in any court.
